Client Advisory Agreement

The agreement that will set up an advisory relationship between you and Huntsman when agents can trade real money for you. You aren’t asked to accept it yet.

Last updated: October 29, 2026

Applies after the SEC registers JupiGlow LLC as an investment adviser. Not in effect, and not asked of anyone yet: until then, agents run only in your practice account.

1. When it applies

This agreement is between you and JupiGlow LLC, doing business as Huntsman (“Huntsman”, “we”). It takes effect only when all of these are true: the SEC has registered JupiGlow LLC as an investment adviser, you choose to use real money, and you accept this agreement in the app. Until then, Huntsman’s Terms of Service apply and agents run in your practice account only. The final text, with our registration details, will be shown in the app before you accept it.

2. What we do

Through the app, we give you investment advice in the form of agents: written trading rules that trade in the brokerage account you connect, within the money and limits you set. Our advice comes only from the app’s software. No person at Huntsman will give you personal investment advice any other way.

3. Our duty to you

As your investment adviser we will be a fiduciary. We must act in your best interest, tell you about our conflicts of interest, and not put our interests ahead of yours.

4. Your information

You agree to answer the app’s profile questions truthfully and to update them when your goals, finances or experience change. Our advice depends on them.

5. Your choices and limits

You choose each agent, the account, the money it gets and its limits. You can restrict any security or kind of trade the app lets you restrict, pause or stop any agent, and change its limits at any time. If you choose an agent that doesn’t fit your profile, we follow your choice only after you accept a warning.

6. Trading authority

The separate Discretionary Trading Authorization says exactly which trades we may place. We never have authority to withdraw or move your money or securities.

7. Fees

You pay the flat monthly fee of your plan, in advance, as the app shows before you subscribe and as Item 5 of our brochure says. It doesn’t depend on your assets or your results. Fees are billed through the Apple App Store and are never taken from your brokerage account. Your broker’s costs are separate, and we receive no part of them. Fees already paid are not refunded, in whole or in part. When this agreement ends, your plan continues to the end of the month you paid for, and then ends. Apple may grant refunds under its own policy; Huntsman does not control those decisions. We give 30 days’ notice by email before any change to fees or to this agreement.

8. Risks

You can lose money, including everything you give an agent. Limits don’t guarantee a price or cap a loss. Practice and test results are hypothetical. Our Risk disclosure and our brochure explain the risks.

9. Documents we give you

Before you accept this agreement, the app gives you our client relationship summary (Form CRS) and our brochure (Form ADV Part 2A). We send updates to them in the app and by email.

10. Changes to agents

A change that matters to an agent you run doesn’t take effect until you accept it.

11. Ending this agreement

You may end this agreement at any time in the app, effective immediately. We may end it with 30 days’ written notice by email, or at once if required by law or if you breach these terms. When it ends, agents stop placing new trades. What they hold stays in your account, and is yours to manage at your broker. We keep the records the law requires.

12. Records and privacy

Our Privacy Policy explains what we collect, which companies handle it, how long we keep it and your choices.

13. Electronic delivery and signature

You agree to receive documents, and to accept this agreement, electronically in the app.

14. Assignment

We won’t assign this agreement without your consent.

15. Governing law

Alabama law applies, except where federal law applies. Nothing in this agreement waives any right you have under federal or state securities laws.
